This article proposes a new capital formation mechanism, Qualified National Defense Funds (QNDFs), designed to mobilize private equity and credit into strategically vital sectors that support US industrial resilience and national security. Drawing on lessons from the Opportunity Zone program and situating QNDFs alongside the widely used Qualified Small Business Stock (QSBS) incentive, the article positions QNDFs within a familiar tax policy landscape to broaden their relevance for family offices, registered investment advisors, and institutional investors. It further examines whether tax incentives are the binding constraint on defense-related capital formation, arguing that procurement and policy risks associated with the US government as a monopsonistic buyer often play a more decisive role. The article proposes contractual and regulatory design features within QNDFs to address these risks, alongside governance, certification, and risk mitigation strategies to ensure program credibility, prevent adversarial infiltration, and support durable public–private alignment. Through comparative analysis and implementation guidance, the QNDF framework offers a scalable, market-compatible tool for reindustrialization in an era of geopolitical competition.
